Glimpse Terms of Service

These Terms of Service ("Terms") govern your use of the Glimpse mobile application ("the app") operated by Glimpse PBC ("we", "us", "our"). By connecting your wallet and using the app, you agree to these Terms. If you do not agree, do not use the app.

1. Service Description

Glimpse is a donor trust platform built on Solana. The app allows users to fund exact nonprofit needs with USDC, receive permanent on-chain transaction receipts, and receive updates through in-app message threads tied to their donations. Glimpse facilitates proof-backed giving and delivers impact documentation to donors. Glimpse does not act as a financial intermediary, custodian, or escrow service. Donations go directly to each nonprofit partner's own Solana wallet.

2. Eligibility

• You must be at least 18 years old to use the app.
• You must have access to a Solana-compatible wallet that supports Mobile Wallet Adapter (MWA).
• You are responsible for ensuring that your use of the app complies with all laws and regulations applicable to you in your jurisdiction.

3. Wallet Connection and Authentication

• The app uses wallet-based authentication. You connect via Mobile Wallet Adapter and sign a message to verify ownership of your wallet address.
• We never request, access, or store your seed phrase or private key.
• You are solely responsible for the security of your wallet, including your seed phrase and private keys. We cannot recover lost wallets or reverse transactions.

4. Donations

• All donations are made in USDC (a Solana SPL token) and are processed on the Solana blockchain.
• Donations are final and non-refundable once confirmed on-chain. Blockchain transactions cannot be reversed by us or any third party.
• Each donation generates an on-chain memo receipt that is permanently recorded on the Solana blockchain.
• Glimpse does not provide tax advice, issue tax receipts, or guarantee that a donation will be tax-deductible. Any tax treatment depends on the receiving organization's status and your own circumstances.
• You are responsible for ensuring you have sufficient USDC and SOL (for transaction fees) in your wallet before initiating a donation.

5. No Financial or Investment Advice

Nothing in the app or these Terms constitutes financial, legal, tax, or investment advice. Glimpse does not recommend, endorse, or guarantee any particular outcome from your donations. You use the app at your own discretion and risk.

6. Messaging

• After a donation, a message thread is created for updates related to your donation.
• Messages in that thread may come from the nonprofit's designated admin account or from Glimpse supporting the nonprofit.
• Messages and any media you share are stored in our backend database.
• You agree not to use the messaging feature to send content that is illegal, abusive, harassing, threatening, or otherwise objectionable.
• We reserve the right to remove content or restrict access to messaging for violations of these Terms.

7. Blockchain Transparency

By using the app, you acknowledge that your wallet address and transaction data (including donation amounts, timestamps, and recipient addresses) are recorded on the Solana blockchain and are publicly visible. This data is permanent and cannot be deleted by us or anyone.

8. Intellectual Property

The Glimpse app, its design, code, branding, and content are owned by Glimpse PBC. You may not copy, modify, distribute, or create derivative works from any part of the app without our written permission.

9. Prohibited Uses

You agree not to:

• Use the app for money laundering, terrorist financing, or any illegal activity.
• Attempt to exploit, hack, or disrupt the app or its backend systems.
• Impersonate another person or misrepresent your identity.
• Use automated scripts or bots to interact with the app.
• Circumvent any security measures or access controls.

10. Service Availability

• The app is provided "as is" and "as available." We do not guarantee uninterrupted or error-free service.
• We may modify, suspend, or discontinue the app at any time without prior notice.
• The app depends on the Solana blockchain network and third-party wallet providers. We are not responsible for outages, delays, or failures caused by these external systems.

11. Limitation of Liability

To the maximum extent permitted by law:

• Glimpse PBC, its officers, directors, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the app.
• Our total liability for any claim related to the app shall not exceed the amount you donated through the app in the 12 months preceding the claim, or $100 USD, whichever is less.
• We are not liable for any loss of funds due to wallet compromise, user error, blockchain network issues, or smart contract vulnerabilities.

12. Indemnification

You agree to indemnify and hold harmless Glimpse PBC and its officers, directors, and employees from any claims, damages, losses, or expenses (including legal fees) arising from your use of the app or violation of these Terms.

13. Privacy

Your use of the app is also governed by our Privacy Policy, which describes what data we collect and how it is used.

14. Disclaimers

• Glimpse is a Public Benefit Corporation registered in Delaware. We are not a nonprofit, registered charity, or 501(c)(3) organization.
• Glimpse does not provide tax advice, issue tax receipts, or guarantee deductibility. Any tax treatment depends on the receiving organization and your circumstances.
• We record each donation on-chain and work to follow up with proof and updates, but we cannot guarantee specific outcomes due to the nature of charitable work and evolving community needs.
• The regulatory landscape for blockchain-based platforms is evolving. Our practices and these Terms may change to comply with applicable laws.

15. Dispute Resolution

If you have a concern about a donation or your experience with the app, contact us at derrick@giveglimpse.com. We will do our best to resolve the matter informally before either side escalates it further.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

17. Changes to These Terms

We may update these Terms at any time. The "Last updated" date above will reflect the most recent revision. Continued use of the app after changes constitutes acceptance of the updated Terms.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
